Starting a Business in Sri Lanka as a Foreigner
Planning to open a restaurant, guest house, villa, boutique hotel or another business in Sri Lanka? Understand company registration, property and 99-year lease options, SLTDA registration, visa assistance and ongoing business compliance before you invest.
Thinking About Investing in Sri Lanka?
Sri Lanka attracts foreign entrepreneurs looking to establish restaurants, guest houses, villas, boutique hotels, tourism businesses and other commercial ventures.
But establishing a business as a foreign investor is not simply a matter of registering a company. Depending on the project, you may also need to consider the investment structure, property arrangements, local approvals, tourism registration, immigration requirements, taxation and ongoing statutory compliance.
The best time to understand these requirements is before signing a long-term property agreement or committing substantial investment.
1. Start With the Business — Not Just the Company
The first question should not always be “How do I register a company?”
Start with the business you actually want to establish. A restaurant, guest house, villa, boutique hotel and other tourism businesses can have different requirements.
Before choosing a property or company structure, it is useful to understand the proposed business model, location, investment level, foreign ownership and the approvals that may apply.
This can help prevent a common problem: committing money to a property first and discovering later that additional approvals, building requirements or tourism requirements need to be addressed.
2. Can a Foreigner Establish a Company in Sri Lanka?
Foreign investors can establish businesses in Sri Lanka, subject to applicable company law, foreign investment restrictions and sector-specific requirements.
For many projects, a Sri Lankan private limited company can provide the corporate structure through which the business operates.
Our company incorporation assistance can cover company name selection, incorporation documentation, directors, shareholders, beneficial ownership information and professional Articles of Association.
We can also assist after incorporation with statutory company-secretarial work, annual filings, director and shareholder changes and other corporate documentation.
Importantly, company registration should not be confused with permission to conduct every type of business, purchase land or obtain a residence visa. Those matters need to be assessed separately.
3. What About Property Ownership?
Property is often one of the most important — and most misunderstood — parts of a foreign investment project in Sri Lanka.
Registering a Sri Lankan company does not automatically mean that a foreign investor can freely acquire any land.
Sri Lankan law contains restrictions relating to the transfer of land to foreigners, foreign companies and certain companies with foreign shareholding.
The exact legal position depends on the proposed transaction, ownership structure, property and applicable exemptions or permissions.
Because property transactions can involve substantial amounts of money, title verification and legal due diligence should be handled with an appropriately qualified Sri Lankan Attorney-at-Law / Notary.
4. Can a Foreigner Use a 99-Year Lease?
A long-term lease can be an important property solution for foreign investors. Sri Lankan law provides for leases to foreigners and certain foreign-owned companies, with the maximum tenure under the relevant provision being 99 years.
But a 99-year lease is a lease — not ownership of the land.
For a restaurant, guest house, villa, boutique hotel or tourism development, the lease agreement can be one of the most important documents in the project.
Investors should consider matters such as the lease period, rent, renewal provisions, permitted use, construction and development rights, assignment, subletting, termination and treatment of improvements.
We can assist with the commercial coordination of the property and lease process and help connect the investor with appropriate legal professionals for title and legal due diligence.
5. Found the Perfect Property? Check It Before You Commit
A property may look ideal for a tourism business while still presenting approval, building, environmental, local-authority or legal issues.
The aim is to assess the property in relation to the proposed business before the investor makes an irreversible commitment.
6. Opening a Restaurant, Guest House, Villa or Hotel
Once the investment and property structure are understood, the next question is how the proposed business will be legally and practically operated.
Tourism businesses can have requirements beyond ordinary company registration.
7. SLTDA Registration & Tourism Approvals
If your proposed business falls within a tourism establishment category, Sri Lanka Tourism Development Authority (SLTDA) registration and related requirements may apply.
Current SLTDA registration categories include hotels/guest houses, restaurants, boutique villas, boutique hotels, home stays and other tourism establishments.
SLTDA requirements depend on the category and the particular establishment. Supporting documents can include business registration, building-related documentation, environmental or local authority clearances, insurance, fire protection documentation and property/lease documents where applicable.
SLTDA operates an online tourism business licensing system for new registrations and renewals.
For larger tourism projects, additional project-level procedures may need to be considered.
8. What About the Investor’s Visa?
Establishing a company and obtaining permission to reside in Sri Lanka are separate matters.
The appropriate residence-visa category depends on the investor’s circumstances, investment structure and the requirements of the relevant authorities.
Foreign investors should not assume that becoming a director of a Sri Lankan company automatically gives them the right to live or work in Sri Lanka.
Depending on the circumstances, investor or other residence-visa pathways may be available. Immigration authorities determine eligibility and approval.
We can assist with the preparation and coordination of business-related documentation and applicable visa processes, subject to the requirements and decisions of the relevant authorities.
9. Setting Up the Company Is Only the Beginning
Once your company is incorporated and the required approvals are obtained, the business still has ongoing legal, accounting and administrative responsibilities.
